These Terms and Conditions govern your access to and use of the Afriexomart website, mobile applications (Customer, Vendor, and Driver apps), and our integrated online marketplace services.

By registering an account, purchasing goods, or operating as a vendor on our platform, you agree to be bound by these Terms. If you do not agree to all of these Terms, you may not access or use the platform.

1. The Afriexomart Marketplace Model

Afriexomart operates a multi-vendor digital marketplace. We provide the software platform and infrastructure that enables independent local shops, specialty merchants, and wholesale vendors to list, market, and sell their products directly to customers.

  • Independent Contractors: Unless explicitly stated otherwise, vendors and third-party delivery personnel are independent businesses and contractors. They are not employees, agents, or representatives of Afriexomart.

  • Product Representation: Individual vendors are solely responsible for the accuracy, quality, pricing, safety, and legal compliance of the items they list on their digital storefronts.

  • No Endorsement: Afriexomart does not explicitly guarantee or endorse the availability, freshness, or strict authenticity of items listed by independent merchants, though we reserve the right to remove non-compliant stores.

2. User Accounts and Eligibility

To access certain features of the platform, you must create a secure user account.

  • Accuracy: You agree to provide accurate, current, and complete information during the registration process and to keep your account details updated.

  • Security: You are responsible for safeguarding your account credentials and password. You agree to notify Afriexomart immediately of any unauthorized use or security breaches concerning your account.

  • Account Termination: We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent chargebacks, or disrupt the marketplace ecosystem.

  • Account Types: The platform hosts separate registration profiles for Customers, Vendors, and Delivery Fleets, each governed by its respective technical access rules.

3. Pricing, Fees, and Payments

  • Item Pricing: Prices for items are set entirely by the respective vendors and may vary based on market conditions, availability, and specialty sourcing.

  • The Service Fee: Every order processed through the Afriexomart network is subject to a flat, non-negotiable $1.00 Service Fee. This fee is charged to the customer at checkout and is collected by the platform to maintain secure payment processing rails, hosting infrastructure, map routing APIs, and customer support.

  • Delivery Fees: Delivery fees are calculated dynamically at checkout based on distance, zone matrices, and operational parameters.

  • Secure Processing: All financial transactions are securely handled through integrated third-party gateway providers, specifically Stripe and PayPal. Afriexomart does not store raw credit card numbers or sensitive CVV data on its systems, ensuring your payment details are protected by enterprise-grade encryption.

4. Fulfillment and Delivery Operations

  • Fulfillment Strategy: Afriexomart utilizes a phased logistics model. The platform launches primarily utilizing the Store Self-Delivery model, meaning merchants utilize their own dedicated in-house personnel or trusted transit arrangements to deliver orders safely. The platform will progressively expand and introduce a centralized, independent platform-coordinated courier driver network over time.

  • Receipt of Perishables: Because many orders consist of fresh, frozen, or perishable exotic foods, it is the customer's responsibility to ensure an authorized individual is present at the delivery location to receive the goods immediately upon arrival to prevent spoilage.

  • Unreachable Customers: If a delivery driver arrives at the location and cannot contact the customer within a standard 10-minute waiting window, the order may be left at the door or returned, and the customer remains responsible for the full payment.

5. Cancelations, Returns, and Refunds

All marketplace transactions are strictly subject to our published platform guidelines:

  • Cancelations: Customers may cancel an order free of charge only before the vendor has formally accepted the request. Once a vendor accepts the order and begins preparing fresh food or packaging custom inventory, cancelations are subject to partial or total restrictions.

  • Perishable Quality: Any issues regarding damaged, spoiled, or incorrect fresh groceries must be reported via the app support system with photographic evidence within 24 hours of delivery.

  • Non-Perishable Returns: Unopened, factory-sealed non-perishable goods may be requested for a return within 7 calendar days of delivery, subject to validation.

6. Prohibited Activities

Users of the Afriexomart platform strictly agree not to:

  • Use the service for any illegal purposes, unauthorized commercial resale, or to purchase prohibited substances.

  • Circumvent the platform's payment architecture by attempting to complete transactions offline with vendors discovered through Afriexomart.

  • Upload false, misleading, defamatory, or fraudulent product reviews, store ratings, or merchant listings.

  • Engage in any automated scraping, data mining, reverse engineering, or malicious activity that disrupts platform performance.

7. Intellectual Property Rights

All content, features, functionality, logos, user interface designs, software text, and graphics across the Afriexomart apps and website are the exclusive property of Afriexomart and are protected by international copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access the platform solely for personal, non-commercial shopping or authorized merchant operations.

8. Limitation of Liability and Indemnification

To the maximum extent permitted by applicable law, Afriexomart, its directors, employees, and infrastructure partners shall not be held liable for any indirect, incidental, special, or consequential damages arising out of your use of the platform.

  • Product Liability: Afriexomart does not manufacture, store, cook, or inspect any of the food or physical items sold through independent vendor storefronts. Any dispute regarding product quality, expiration dates, ingredient allergens, or physical fulfillment defects must be addressed directly with the respective merchant.

  • Indemnification: You agree to defend, indemnify, and hold harmless Afriexomart and its licensees from and against any claims, damages, obligations, losses, liabilities, costs, or debt resulting from your violation of these Terms.

9. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which Afriexomart operates, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the platform shall be instituted exclusively in the designated local courts.

10. Amendments to Terms

We reserve the right to modify or replace these Terms and Conditions at any time. Any changes will become effective immediately upon posting the updated text to this page with a revised effective date. Your continued use of the platform following the publication of changes constitutes formal acceptance of the updated terms.
